INCORPORATION OF A COMPANY


Rate:
   Varies according to state - please contact us for exact quote.
   Cost include all filing fees, corporate book and seal and all miscellaneous costs.


Services:
   Draft and file articles of incorporation or organization
   Obtain corporate book and corporate seal
   Draft bylaws
   Draft first board of directors' meeting
   Coordinate with bankers on opening of bank accounts
   Apply for federal tax identification number
   Prepare and file domestic stock statement
   Prepare first issuance of stocks including filing notice with department of corporation
   Drafting director's resolutions and issuance of stock certificates

Time frame:
   Upon receipt of the relevant information and confirmation of payment of fees and costs,
   a company can be incorporated anywhere between three (3) days to three (3) weeks

3 easy steps to take to commence incorporation within three (3) days:

  1. Provide us with 3 proposed names of the company
  2. Provide us with names and addresses of registered agent and social security number of an officer of a company for the federal tax id no.(we can act as registered agent for an annual fee of $300 and secretary of the company for the annual fee of $500)
  3. Wire the appropriate sum to our firm

Additional services:
  1. Annual corporate secretarial services: US $600
    Services include drafting annual general meeting, special meetings, directors' resolutions for relevant corporate actions including increase in paid up capital, employee stock options and changes in directors and officers of the company and filing annual domestic stock statement.
  2. Filing local city business license, fictitious business names and California tax id no. US $600
  3. Filing of trade mark: US $1000 per mark(including filing fee of $325)
  4. Annual retainer for advisory services - for general advisory role on corporate issues and strategy and general legal issues without providing any former legal representation as the attorney of record or specific drafting of any agreements and documents US $2000 per year
  5. Legal representation in specific matters, for example, drafting of shareholders' or partnership agreements, operating agreements, non disclosure agreements, OEM agreements, license agreements, sales agency agreement, employee stock options, employment agreements and franchising your business with franchise agreements (*fees will be quoted on a case-by-case basis)
Immigration matters:

   L1A or L1B - inter company transferee:
   (3 year visa unless new office in which visa will be approved only for one year
   and can be extended for another 3 years each time for a total of 7 years for L1A
   international manager and executive and 5 years for employees in specialized
   knowledge.
   Time frame: 1-6 months

   H1B - employment visas where the job requires a bachelor's degree and the
   employee has a bachelor's degree or 12 years work experience without a degree
   or a combination of years of education and experience
   Time frame: 2-3 months

   Permanent residence applications as international
   Manager and executive:
   Time frame: 3-12 months

   Permanent residence application through labor Certification:
   Time frame: 1-3 years

Real estate services (as a licensed real estate broker):
   Finding commercial buildings or land or residential housing in the entire California
   area -no cost to buyer, commission to commensurate with particular project
   or property.
